Jotholm Terms of Service

These Terms of Service ("Terms") govern your use of Jotholm, a collaborative whiteboard service provided by Johan Sjölin, an individual operating as a sole trader (Swedish enskild näringsidkare) established in Sweden, contactable at Trollhasselgatan 27, 417 11 Göteborg, Sweden ("Jotholm", "we", "us"). By creating an account or using the service you agree to these Terms. If you do not agree, do not use the service.
1. The service
Jotholm is a subscription, multi-tenant collaborative whiteboard. Each workspace is an isolated tenant containing a board with stickers, frames, text blocks, and uploaded images shared among its members. We may update, improve, or change features over time.
2. Accounts & eligibility
- You must provide a valid email address and keep your credentials secure. You are responsible for activity under your account.
- You may sign in with an email/password or with Google.
- You must be at least 16 years old to use Jotholm. The service is not directed to children; by creating an account you confirm you are at least 16.
- One person should not share a single account credential set; invite collaborators to your workspace instead.
3. Acceptable use
You agree not to:
- upload, store, or share content that is unlawful, infringing, malicious, or violates others' rights;
- attempt to breach tenant isolation, access another workspace's data, probe, or circumvent security or rate-limiting controls;
- use the service to distribute malware, spam, or to harass others;
- resell or provide the service to third parties except as expressly permitted;
- use automated means to overload or scrape the service.
We may suspend or terminate accounts that violate this section.
4. Your content
- You own your content. You retain all rights to the board content, text, and images you create or upload.
- You grant us a limited licence to host, store, process, transmit, and display your content solely to operate and provide the service to you and your workspace collaborators.
- You are responsible for having the rights to any content you upload.
- Within a shared workspace, content is visible to all members of that workspace; manage membership accordingly.
5. Subscriptions, pricing & auto-renewal
This section is written to be unambiguous and conspicuous, consistent with the EU Consumer Rights Directive and Swedish consumer law, which require clear pre-purchase disclosure and easy cancellation. The auto-renewal, renewal pricing, and cancellation terms are disclosed here; recurring pricing is also shown at the point of purchase, and cancellation is available at any time via the in-product billing portal.
- Free tier: Jotholm offers a free plan with usage limits.
- Paid plan: subscriptions are billed per workspace via Stripe. The price is USD $1.99 per month per workspace, billed monthly. There is no annual plan. The price shown is the total amount payable; no separate VAT or other tax is added at checkout.
- Auto-renewal: paid subscriptions renew automatically at the end of each monthly billing period at the then-current price, until you cancel. Your payment method will be charged on each renewal date.
- Cancellation: you can cancel at any time via the in-product billing portal (Stripe customer portal). On cancellation your plan remains active until the end of the current paid period, then reverts to the free tier; over-quota content is not deleted: it remains read-accessible, and you are asked to upgrade or remove items before the next change.
- Price changes: we will give reasonable advance notice of any price change, by in-product notice and email, before it takes effect on your next renewal; you may cancel before then if you do not accept the new price.
6. Refunds
Fees are non-refundable except where a refund is required by applicable law. We do not operate a discretionary pro-rata refund programme at this price point.
EU/EEA consumer withdrawal right: if you are a consumer in the EU/EEA you have a 14-day right of withdrawal for distance contracts. To withdraw, contact legal@jotholm.io within 14 days of subscribing; we will refund the fee you paid, less a proportionate amount for the service already provided up to the point of withdrawal (EU Consumer Rights Directive Art. 14(3)). Your mandatory statutory consumer rights are otherwise unaffected by these Terms.
7. Trials & complimentary access
We may offer free trials or complimentary ("comp") access. Trials convert to or extend a paid subscription on the terms disclosed when the trial is granted; you can cancel before the trial ends to avoid charges.
8. Availability & changes
We aim to keep the service available but do not guarantee uninterrupted operation. The service is provided on an "as available" basis with no uptime or service-level (SLA) commitment. We may modify, suspend, or discontinue features.
9. Termination
You may stop using and delete your account at any time (see the DSR Process). We may suspend or terminate your account for breach of these Terms or as required by law, with notice where practicable. On termination, your data is deleted in accordance with the Privacy Policy retention rules.
10. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. This does not exclude or limit any statutory consumer warranty or other right that cannot be excluded under applicable mandatory law (including non-excludable EU/Swedish consumer protections); such rights continue to apply in full.
11. Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the service is limited to the total fees you paid in the 12 months preceding the event giving rise to the claim, and we are not liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, gross negligence, wilful misconduct, or non-excludable consumer rights.
12. Indemnity
No customer indemnity is imposed.
13. Governing law & disputes
These Terms are governed by Swedish law, and disputes are subject to the Göteborg District Court (Göteborgs tingsrätt) as first instance. If you are a consumer, this does not deprive you of the protection of mandatory provisions, or the right to bring proceedings in the courts, of your country of residence.
14. Changes to these Terms
We may update these Terms; updates are notified by in-product notice, and material changes additionally by email, with reasonable advance notice, taking effect on the stated date. A change is "material" if, viewed objectively, it significantly reduces your rights or increases your obligations, for example a price increase, a new fee, or a meaningful reduction in functionality you pay for. Continued use after the effective date means acceptance.
